Job Description:
1. Daily Transport Operation Management:
o Handle routine activities including managing No Record
/Not Live cases and verifying Handover Receiving's for both
Internal and 3PL operations.

Company Secretariat is seeking a motivated and a dynamic individual to assist the Company Secretary in the day-to-day secretarial functions
KEY RESPONSIBILITIES
- Preparing agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points
- Convening and servicing AGMs, drafting minutes, resolutions, and lodging required forms and annual returns with appropriate departments

EXPERIENCE

Middle Management Position - Shares
COMPANY OVERVIEW
Our Client, a Karachi based company, seeks to appoint an experienced and seasoned professional. The successful candidate will b e responsible for managing the company's share-related activities, ensuring compliance with regulatory requirements, and maintaining a high level of accuracy and attention to detail. The incumbent will work closely with the Company Secretary and the company's share registrar to ensure the smooth operation of share-related matters. The position will report to the Company Secretary.
KEY RESPONSIBILITIES
- Manage the company's shares portfolio and supervise the shares department while ensuring accuracy, compliance and integrity of shareholding records.
- Coordinate with the company's share registrar to process share trans actions, including share transfers, transmissions, and allotments etc.
- Coordinate with the company's share registrar and paying agent to ensure that dividends are transmitted to shareholders within statutory deadlines and withholding t a x and zakat from dividend are accurately deducted and deposited.
- Coordinate with external auditors regarding dividend, free float and other certifications required under various laws.
- Coordinate with the company's share registrar with respect to issuance of bonus shares and other instruments, as and when required.
- Ensure compliance with the Companies Act, 2017, Securities Act, 2015, Companies (Distribution of Dividends) Regulations, 2017, Code of Corporate Governance, Listing Regulations of Pakistan Stock Exchange, CDC Regulations and other relevant laws.
- Provide guidance and support to the Company Secretary and other stakeholders on share-related matters.
- Develop and implement processes and procedures to improve the efficiency and effectiveness of share-related activities.
- Liaise with external parties, including shareholders and regulatory bodies, as required.
- Maintain and prepare accurate and up-to-date records and reports related to shareholding and share trans actions.
- Maintain accurate statutory books including Members Register, Register of Mortgages & Charges and ancillary matters.
- Preparation and submission of Form A and other forms and statutory returns under the Companies Act, 2017, Securities Act, 2015, Listing Regulations of Pakistan Stock Exchange and other relevant laws.
- Assist in the preparation and holding of general meetings of the company and liaison with the share registrar, PSX and SECP in this regard.
EDUCATION
- Minimum 16 years of education preferably masters from a renowned HEC recognized university or institution / equivalent foreign degree holder, preferably in the discipline of law or finance
EXPERIENCE
- Minimum 6-8 years of professional experience, prefera bly in a large national/multinational organization with at least 2-6 years of related functional experience in a similar role at a senior equivalent position or one position b elow
REQUIREMENTS
- Ability to work independently having excellent interpret ation and drafting skills
- Excellent present ation, problem solving, decision ma king and analytical skills
